BIOMEETUP — Terms of Service

1. Acceptance of Terms

By accessing or using the BioMeetUp platform ("Platform"), operated by BIOTRIAL PARTNERS PTY LTD (ACN 686 373 366, ABN 40 686 373 366) ("BioMeetUp," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree, you must not use the Platform.

You represent that:

• (a) You are at least 18 years old
• (b) You have legal authority to enter into these Terms
• (c) If acting on behalf of an entity, you are authorised to bind it

2. Description of Service

BioMeetUp is an always-on digital partnering and intelligence platform for the life sciences ecosystem.

Features include:

• Company profiles and search
• AI-powered matching and insights
• Clinical trial data aggregation
• Messaging between users
• Virtual booths
• Subscription-based services

BioMeetUp is a technology platform only and not a broker, intermediary, advisor, or agent.

3. User Accounts

You must:

• Provide accurate information
• Maintain account security
• Use one account per individual

We may suspend or terminate accounts for:

• Misuse
• Fraud
• Breach of these Terms

4. Subscriptions and Payment

• Paid plans are billed annually — there is no monthly plan
• See /plans for the current plans and their annual prices
• Auto-renew unless cancelled
• Non-refundable except where required by law
• Payments processed via Stripe

5. User Content and Data

You retain ownership of your content.

You grant BioMeetUp a worldwide licence to use it for:

• Operating the Platform
• Improving services
• Generating insights

Platform Data & Insights

All platform-generated outputs including:

• AI match scores
• Analytics
• Insights
• Rankings

are owned exclusively by BioMeetUp.

6. Data Sources

Data may come from:

• Users
• ClinicalTrials.gov (public clinical trial registry — outbound only)
• SEC EDGAR (public regulatory filings — outbound only)
• Third-party AI service providers (AI inference)
• AI-generated analysis

We do not guarantee accuracy or completeness of third-party public data.

7. AI Features

AI outputs:

• Are informational only and do not constitute investment, medical, or legal advice
• May contain errors
• Must not be solely relied upon

BioMeetUp:

• Processes data for inference purposes
• Does not use personal data to train third-party AI models
• May use aggregated or anonymised data to improve internal systems

8. Acceptable Use and Data Restrictions

You must NOT:

• Scrape, harvest, or extract data
• Build competing databases
• Export contact lists
• Use data outside the Platform
• Use bots, crawlers, or automation
• Resell or redistribute Platform data

All data is provided for internal business use only within the Platform.

Violation may result in:

• Suspension or termination
• Legal action

9. Messaging and User Interactions

Users interact at their own risk.

BioMeetUp:

• Does not verify all user communications
• Is not responsible for user conduct
• Does not guarantee legitimacy of users

We reserve the right to monitor, restrict, or remove communications to ensure platform integrity and compliance.

10. Intellectual Property

All Platform IP belongs to BioMeetUp, including:

• Software
• Design
• Algorithms
• AI systems

11. Disclaimers

The Platform is provided "as is" and "as available".

We do not guarantee:

• Accuracy
• Completeness
• Availability

We do not provide:

• Investment advice
• Medical advice
• Business advice

12. Limitation of Liability

To the maximum extent permitted by law:

BioMeetUp shall not be liable for:

• Indirect or consequential damages
• Loss of profits, data, or business opportunities

12.2 Liability Cap

Our total aggregate liability shall not exceed:

• (a) the total fees paid by you in the twelve (12) months preceding the claim; or
• (b) USD $100,

whichever is greater.

Nothing excludes liability that cannot be limited under law.

13. Indemnification

You agree to indemnify BioMeetUp against claims arising from:

• Your use of the Platform
• Your content
• Your conduct
• Your breach of these Terms

14. Termination

We may terminate or suspend accounts at our discretion.

Upon termination:

• Access ends immediately
• Data may be deleted after a reasonable period

15. Governing Law

These Terms are governed by the laws of Queensland, Australia.

Courts of Queensland have exclusive jurisdiction.

16. Changes to Terms

We may update these Terms. For material changes, we will provide at least 30 days' notice via email or in-platform notification before the changes take effect.

• No waiver
• Force majeure applies
